NOTARY PERFECT, INC.
DOCUMENT SIGNING AND NOTARIAL SERVICES
INDEPENDENT CONTRACTOR AGREEMENT
NOTARY PERFECT, INC, and the independent
contractor, (hereafter called Notary) hereby enter into this independent
contractor agreement whereby NOTARY PERFECT, INC. and
Notary will provide loan document delivery and signing services to prospective
document signer(s) for one or more escrow, mortgage lending, title or
other iscellaneous companies with Notary to deliver said documents to
the prospective borrower, perform the natural services associated with
the execution of such documents and thereafter deliver said documents
according to the instructions of NOTARY PERFECT, INC.
as an independent contractor.
The parties now agree to the following:
- This agreement shall become effective as of the earliest
date as set forth at the bottom of this Contract.
- NOTARY PERFECT, INC. will utilize Notary
and Notary’s services in the sole discretion of NOTARY
PERFECT, INC. to deliver loan escrow and/or legal documents
to prospective document signer(s), to obtain the signatures of the prospective
document signer(s) on said documents (affixing notary seals as required
by law or as per the instructions of NOTARY PERFECT, INC.
or the prospective lender, or title company etc.), and to return the
signed documents at the instructions of the prospective lender, title
company, etc., Notary shall have full discretion to accomplish these
task in the manner in which Notary deems appropriate, except with respect
to any deadlines specified by NOTARY PERFECT, INC.
or its customers as set forth in the instructions accompanying the documents
in which signatures are to be obtained.
- That upon receiving and accepting an assignment from NOTARY
PERFECT, INC. to
obtain signatures on documents. Notary agrees to deliver documents in
a timely and professional manner, obtain the signatures(s) or signee(s)
on all documents according to the instructions received by Notary and
affix notary seals as it related to California Notary Publics, or their
individual State Notary laws. In addition Notary agrees to deliver documents
to the location specified by NOTARY PERFECT, INC. or
its lenders and clients.
- Notary shall advise NOTARY PERFECT, INC.
of any inability or failure to complete the
assignment as per the instructions received by notary immediately upon
such inability or failure to complete the assignment as per the instructions.
- NOTARY PERFECT, INC. will take full responsibility
for follow-up on payment of any
outstanding invoices. Notary agrees that any payment questions Notary
has, are to be directed to NOTARY PERFECT, INC. and
not to the customers.
- Notary takes full responsibility for keeping their Notary
license current at all times in order to be eligible to receive assignments.
Notary shall carry errors and omissions liability insurance coverage
and shall keep same in force and effect at all times. Notary shall also
carry not less than the statutory minimum in bond coverage and shall
keep same in force and effect at all time, Notary shall bear all costs
on these policies (outlined above) and any other items as required by
the licensing body for a valid Notary license. Furthermore, Notary agrees
to indemnify and hold NOTARY PERFECT, INC. harmless
from any and all claims arising from any negligent acts or omissions
made by a Notary.
- Notary understands that NOTARY PERFECT, INC.
does not function in any manner as an employer. The Notary is acting
in the capacity of Independent Contractor as the decision to accept
or decline the assignment to accomplish document-signing rest solely
upon the Notary. It is also the Notary’s responsibility to pay
applicable employment taxes, City, County, State, and Federal taxes
that might arise from their self-employment.
- Notary acknowledges that by entering into this agreement
it will be necessary for NOTARY PERFECT, INC. to share
with notary the names, addresses, names of contacts within companies,
and other identifying information of the customers with whom NOTARY
PERFECT, INC does business. Notary acknowledges that he or she shall
not interfere with, directly or indirectly, disrupt or attempt to disrupt
the relationship, contractual or otherwise, between NOTARY PERFECT,
INC. and any customers, client, supplier, consultant or other
contractor to NOTARY PERFECT, INC. Nor shall Notary
turn any matter or information as it relates to the identity of its
customers, marketing or operations of NOTARY PERFECT, INC.
over to any other competitive or potentially competitive services. Notary
furthers agrees that Notary will not make use of said information to
conduct a competing business. Notary understands that directly soliciting
business from sources of business given to them by NOTARY PERFECT,
INC. or breaching any provision of this agreement is cause
for immediate cessation of eligibility for the receipt of assignments
from NOTARY PERFECT, INC. and may subject Notary to
legal action by NOTARY PERFECT, INC. to protect the
trade secrets of NOTARY PERFECT, INC. and/or recover
damages.
- Notary agrees to supply all office equipment, automobiles,
and other physical items needed for Notary to perform their duties.
Notary shall bear all costs on these items.
- Payment to Notary will be made: Anything signed between
the 1st and the 30th, or 31st, checks will be mailed by the 15th of
the following month. Notary must keep a record of all signings made
during a billing cycle. Notary must contact NOTARY PERFECT,
INC. immediately, if Notary feels they were not paid for a
signing. NOTARY PERFECT, INC. reserves the right to
modify or change when payments to Notary are to be made. NOTARY
PERFECT, INC. if any changes, will notify the notary.
- It is the desire of the parties that this agreement be
enforced to the fullest extent under the laws and shall be construed
pursuant to the laws of the State of California. If any particular portion
of this agreement is adjudicated to be unenforceable then that portion
shall be severed from the remainder of the agreement and the reminder
of the agreement shall remain enforceable.
- This agreement shall be binding upon and in sure to the
benefit of the parties, their successors, assigns and personal representatives.
- Should litigation be commenced to enforce the terms of
the agreement and/or to recover damages the prevailing party shall be
entitled to its reasonable attorney’s fees.
I understand that this is not an application for employment.
I understand that NOTARY PERFECT, INC. does not function
in any manner as an employer. I agree that I will act in the capacity
of Independent Contractor as the decision to accept of decline the one-time
act of document signing rests solely upon me. I further understand that
I have full discretion as to the manner in which the instructions given
to me by NOTARY PERFECT, INC. are to be accomplished
except as to deadlines established by the customer of NOTARY PERFECT,
INC. Further I understand it is my responsibility to pay all
applicable employment taxes, City, County, State, and Federal taxes that
might arise from my self employment. Furthermore, I understand that this
does not constitute an agreement by NOTARY PERFECT, INC.
to utilize my services for document signings. I understand that speed
and accuracy are an important part of this document signing business.
Thus any messages left by NOTARY PERFECT, INC for potential signings should
in no way be constructed as an agreement between NOTARY PERFECT,
INC. and myself to actually do business. All signings will be
confirmed orally prior to acceptance by myself of said signing.

How much is a Notary paid?
$50 for loan signing – Over Night Docs
$75 for loan signing – Email Docs
When is Notary paid?
Within 45 days after signing. . Please note due to the high
volume of checks being released, it may take a few days to reconcile all
of them.
Note: Notaries responsibility is to notify us of completion
of signing by 8am the following
business day, otherwise we will not guarantee payment in that signing
period.
Note: Amounts paid for each signing, and times paid are
subject to change. All notaries will be notified in advance of any changes.
